Terms of Service

Terms for personal and business use of the PaperPlane service.

Last reviewed

Version: 30 October 2026. The German version is authoritative. These Terms apply to contracts concluded from the version date onward.

1. Provider and scope

PaperPlane is provided by code & comments kg, Hörnesgasse 19/16, 1030 Vienna, Austria, FN 544299s, VAT ID ATU76226549 (“we”). These Terms govern the PaperPlane software-as-a-service offering for consumers (“Personal customers”) and persons acting for a business or organisation (“Business customers”). Individual agreements take precedence.

Personal customers must be at least 18 years old. A person ordering for an organisation confirms that they are authorised to bind it. Mandatory consumer rights remain unaffected.

2. Contract conclusion and documents

The website, plan overview and checkout information are an invitation to place an order. Before submitting an order, the customer can correct the entered information. A contract is concluded when we confirm acceptance or activate the workspace, and for paid plans only after successful payment authorisation. The order summary, these Terms, the Privacy Notice and consumer information are made available electronically. The accepted document version is recorded.

The service language is German or English as selected in the application. Contract data is kept for the contractual and statutory retention periods. Customers can request a copy at hello@codeandcomments.at.

3. Service

PaperPlane stores, organises, searches, processes and shares documents. Depending on the selected plan, it may provide OCR, metadata extraction, full-text and semantic search, AI-assisted answers, imports from third-party systems, audit information and electronic-signature workflows. Current features, document limits and prices are shown before purchase.

AI output is generated probabilistically and can be incomplete or incorrect. Source links help the customer verify an answer but do not replace review of the original document. PaperPlane does not provide legal, tax, medical or other professional advice.

Simple visual or uploaded signatures are electronic signatures but are not represented as qualified electronic signatures. A qualified-signature option is identified separately and only available when an enabled qualified trust-service workflow is shown in the product.

4. Availability and changes

We operate the service with reasonable professional care. Continuous, error-free availability and the continued availability of a particular third-party integration cannot be guaranteed. Maintenance, security work, provider outages and force-majeure events may interrupt the service. We will give reasonable notice of material planned restrictions where practicable.

We may make proportionate changes needed for security, law, interoperability or technical development. Changes will not remove paid core functionality during a paid period without a valid reason. Material adverse changes and price changes are announced in advance. Consumer termination and conformity rights remain unaffected.

5. Customer content and responsibilities

The customer retains rights in uploaded content and grants us the rights strictly necessary to host, copy, convert, index, analyse, transmit and delete it in order to provide the service. The customer determines which content, integrations, recipients and workspace members are used.

The customer must:

  • have the rights and legal basis required for the content and instructions;
  • keep credentials secure and notify us promptly of suspected misuse;
  • configure permissions and sharing recipients carefully;
  • verify AI output, extracted metadata and signature status before relying on them;
  • comply with the Acceptable Use Policy; and
  • retain independent exports of irreplaceable material in accordance with its own risk and retention requirements.

The independent-export duty does not remove our duties to provide the contracted storage service with reasonable care.

6. Integrations

If the customer connects Google, Microsoft, Dropbox, email or file-server accounts, PaperPlane uses the granted permissions to import selected files or attachments. Disconnecting a source stops future access but does not automatically delete documents already imported into PaperPlane. Those copies must be deleted in PaperPlane. Third-party services are also governed by the customer’s agreement with the relevant provider.

7. Prices, payment and renewal

The price, currency, billing period, taxes and total recurring amount are shown before the order. Personal prices include VAT where indicated; business prices may be displayed excluding VAT. Payments and recurring mandates are processed by Mollie. Paid subscriptions renew for the selected monthly or annual period until cancelled. Failed payments may result in retry, restriction or a move to the Free plan after reasonable notice.

We may change future renewal prices with advance notice. The customer may cancel before the new price takes effect. Already-paid periods are not retroactively repriced.

8. Cancellation

Subscription cancellation is available in Billing settings and takes effect at the end of the current paid period unless the application expressly offers an earlier date. The workspace then moves to the Free plan. If its usage exceeds Free limits, access or new processing may be restricted until content is exported, deleted or the plan is changed.

9. Deletion, export and switching

Deleted documents normally remain recoverable in Trash for 30 days unless permanently deleted earlier. A deleted workspace or account normally has a 30-day recovery period. After the recovery period, operational content is scheduled for permanent deletion, subject to legally required billing, fraud-prevention, security and evidence records.

Before cancellation or deletion, customers should export content they need. The Data Export and Switching Policy describes the request process and retrieval period. Backup copies and non-current object versions age out according to the backup cycle and are not an extended customer archive.

10. Data protection and confidentiality

Our Privacy Notice explains processing for our own purposes. Where we process personal data in business-customer content solely on the customer’s instructions, the Data Processing Agreement applies. Each party must protect confidential information using appropriate measures and use it only for the contract, legal compliance or the exercise of legal rights.

11. Suspension and termination

We may proportionately restrict or suspend access where necessary to address a security threat, unlawful use, material contract breach, non-payment or risk to other users. Except in urgent cases, we will first give notice and a reasonable opportunity to remedy the issue. We may terminate for material breach after an unsuccessful cure period. Statutory rights to immediate termination remain.

12. Warranty

Consumers receive all mandatory statutory conformity, update and remedy rights for digital services. Nothing in these Terms limits those rights.

For Business customers, we will remedy reproducible material service defects notified without undue delay. The Business customer must reasonably assist diagnosis. Descriptions of future features are plans rather than guaranteed delivery dates unless expressly agreed.

13. Liability

We are liable without limitation for intent, gross negligence, death or personal injury, and in all other cases where liability cannot legally be limited. Mandatory consumer and data-protection claims remain unaffected.

For consumers, the statutory liability rules apply. In particular, no exclusion applies where it would deprive the document-storage service of its essential contractual purpose.

For Business customers, in cases of ordinary negligence we are liable only for breach of an essential contractual duty and only for damage foreseeable and typical when the contract was concluded. Subject to the preceding unlimited-liability cases, aggregate liability for ordinary negligence in a contract year is limited to the fees paid or payable for that year. Liability for lost profit, indirect damage and consequential damage is excluded to the extent such damage was not foreseeable and typical. These limitations do not reduce any directly applicable liability to data subjects under data-protection law.

The customer remains responsible for its content, permission decisions, required retention periods and decisions made after reviewing AI output. Failure of a third-party service is not automatically outside our responsibility; any relief applies only to the extent the event was beyond reasonable control despite appropriate contractual and technical precautions.

14. Governing law and disputes

Austrian law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice does not remove mandatory protection of the country in which they habitually reside. Consumer jurisdiction follows mandatory law.

For Business customers, the exclusive place of jurisdiction is the competent court in Vienna, Austria. Before litigation, the parties should attempt in good faith to resolve the issue through hello@codeandcomments.at.

15. Final provisions

The customer may not transfer the contract without our consent, except where mandatory law allows it. We may transfer it as part of a business succession provided this does not reduce consumer rights. If a provision is invalid, the remaining provisions continue to apply; the invalid provision is replaced only to the extent permitted by law. Notices may be delivered in the application or to the registered email address where a durable-medium notice is legally permitted.
